These Terms & Conditions govern access to and use of the Construsfera website, digital platform, network and related services.

By accessing or using Construsfera, you acknowledge that you have read and agree to these Terms & Conditions, together with the applicable Legal Notice, Privacy Policy and Cookie Policy.

These Terms are intended to provide a common framework for Construsfera's activities across different countries and markets. Specific services, projects, countries, partners and commercial relationships may be subject to additional agreements.

1. ABOUT CONSTRUSFERA

Construsfera is a digital infrastructure for the construction and infrastructure ecosystem.

Construsfera's purpose is to identify, structure, connect and facilitate the mobilisation of capabilities required by construction, engineering, industrial and infrastructure projects.

These capabilities may include, among others:

• professionals;

• engineers and technicians;

• construction companies;

• contractors and subcontractors;

• suppliers;

• manufacturers;

• equipment and machinery owners;

• logistics providers;

• engineering firms;

• technical specialists;

• local execution partners;

• strategic partners;

• financial or commercial partners;

• knowledge and technical resources.

Construsfera operates as a digital and organisational layer connecting these capabilities with people, companies and projects.

Its role may vary depending on the service, country and contractual arrangement.

2. CONSTRUSFERA IS NOT NECESSARILY THE PROJECT CONTRACTOR

Unless expressly agreed in a separate written agreement, Construsfera is not itself:

• a construction contractor;

• an engineering company;

• an architect;

• an equipment owner;

• a material supplier;

• a logistics company;

• an employer of independent professionals;

• an EPC contractor;

• a project developer; or

• the provider of any professional or technical service supplied by an independent third party.

Construsfera may facilitate the identification, qualification, coordination or connection of such parties without assuming their contractual obligations.

Where Construsfera itself undertakes a specific professional, coordination, management or project service under a separate agreement, that agreement will govern the relevant relationship.

3. THE CONSTRUSFERA MODEL

Construsfera is based on a simple principle:

Connect Capacity. Deliver Projects.

The platform seeks to transform fragmented capabilities into organised execution capacity.

The general process may include:

IDENTIFY → VERIFY → QUALIFY → CONNECT → COORDINATE → MOBILISE → EXECUTE

Not every project or service will require every stage.

The scope applicable to a particular project will depend on the relevant agreement.

4. LOCAL EXECUTION NETWORKS

For projects requiring multiple local capabilities, Construsfera may develop or coordinate a Local Execution Network.

A Local Execution Network may include:

• local companies;

• contractors;

• subcontractors;

• professionals;

• engineers;

• technicians;

• equipment owners;

• suppliers;

• logistics providers;

• workshops;

• facilities;

• other relevant resources.

The composition of each network will depend on the requirements of the relevant project, market and client.

Participation in a Local Execution Network does not by itself create:

• an employment relationship;

• a partnership;

• an agency relationship;

• a joint venture;

• a consortium;

• a corporate relationship; or

• any other legal association between participants.

Such relationships will only arise where expressly established in a separate written agreement.

5. STRATEGIC AND LOCAL PARTNERS

Construsfera may collaborate with strategic partners, local infrastructure partners, historical companies, construction companies, engineering firms, technology providers and other organisations.

A partner may contribute:

• industry experience;

• local knowledge;

• professional relationships;

• personnel;

• equipment;

• facilities;

• technical expertise;

• supplier relationships;

• market access;

• project experience; or

• other relevant capabilities.

Partner status does not automatically grant ownership of Construsfera, its platform, software, databases, trademarks, intellectual property or business.

Unless expressly agreed otherwise, each partner remains an independent entity.

6. PROJECT-SPECIFIC STRUCTURES

Complex projects may require a specific legal or commercial structure.

Depending on the project, Construsfera and other participants may establish or participate in:

• project companies;

• special purpose vehicles (SPVs);

• consortia;

• joint ventures;

• subcontracting structures;

• framework agreements;

• strategic alliances; or

• other project-specific arrangements.

The creation, ownership, governance, financing, responsibilities and commercial terms of such structures shall be governed exclusively by the relevant written agreements.

Participation in Construsfera does not automatically create any right to participate in a future project company, consortium or joint venture.

7. PROJECT OWNERS, EPC CONTRACTORS AND INTERNATIONAL COMPANIES

Construsfera may provide services to:

• project owners;

• governments and public entities;

• international companies;

• EPC contractors;

• engineering companies;

• infrastructure developers;

• investors;

• industrial companies;

• construction companies; and

• other organisations seeking local or specialised execution capacity.

Such clients may request Construsfera to identify, screen, organise or coordinate local capabilities required for a particular project or market.

Construsfera may therefore act as a local capacity intelligence and coordination layer between an international project and the relevant local ecosystem.

8. CAPACITY IDENTIFICATION AND SCREENING

Construsfera may collect and organise information concerning companies, professionals, equipment, suppliers and other resources.

Where requested by a client, Construsfera may conduct preliminary screening based on criteria such as:

• experience;

• technical capabilities;

• geographic location;

• availability;

• equipment;

• personnel;

• certifications;

• licences;

• references;

• documentation;

• safety information;

• quality information;

• financial information; or

• other project-specific requirements.

Any screening or qualification performed by Construsfera is subject to the scope expressly agreed with the relevant client.

Unless expressly stated otherwise, Construsfera's screening does not constitute a governmental, regulatory, professional or absolute certification of a third party.

Final approval of contractors, suppliers, professionals or other participants remains with the party legally responsible for the relevant project or procurement decision.

9. THIRD-PARTY CAPABILITIES

Information relating to third-party capabilities may be supplied:

• directly by the relevant party;

• by clients;

• by partners;

• from public sources;

• through professional networks; or

• from other legally permitted sources.

Construsfera seeks to maintain accurate and useful information but cannot guarantee that all third-party information will always be complete, current or error-free.

Users and clients should perform whatever additional due diligence is appropriate to the nature, complexity and value of a project.

10. PROFESSIONALS, COMPANIES AND SUPPLIERS

Professionals, companies, contractors, suppliers and other capability providers remain responsible for their own activities.

They are responsible for maintaining, where applicable:

• appropriate qualifications;

• professional licences;

• permits;

• registrations;

• insurance;

• tax compliance;

• health and safety compliance;

• labour compliance;

• environmental compliance;

• technical standards;

• contractual obligations; and

• other legal requirements applicable to their activities.

Listing, registration, screening or participation on Construsfera does not replace any legally required qualification, licence or certification.

11. PROJECT REQUESTS

Users may submit requests relating to:

• construction;

• repairs;

• renovation;

• engineering;

• infrastructure;

• industrial projects;

• energy projects;

• procurement;

• equipment;

• logistics;

• technical services; or

• other construction-related needs.

Users must provide information that is reasonably accurate and must not knowingly submit fraudulent, misleading or abusive requests.

Submitting a project request does not guarantee:

• that Construsfera will accept the project;

• that a suitable capability will be found;

• that a quotation will be received;

• that a contract will be awarded; or

• that the project will ultimately be executed.

12. MATCHING, RECOMMENDATIONS AND ARTIFICIAL INTELLIGENCE

Construsfera may use software, algorithms, artificial intelligence and other technologies to:

• classify project requirements;

• structure information;

• identify potentially relevant capabilities;

• compare capabilities;

• facilitate searches;

• generate recommendations;

• assist with communications;

• support project organisation; and

• improve platform functionality.

AI-generated or algorithmically generated recommendations are intended to assist users and do not constitute professional, technical, legal, financial or engineering advice.

Users and project decision-makers remain responsible for evaluating the suitability of any person, company, supplier, equipment or resource.

Where applicable law imposes requirements concerning automated decision-making or profiling, Construsfera will apply the safeguards required by such law.

13. DIRECT CONTRACTING BETWEEN PARTICIPANTS

Unless expressly agreed otherwise, a connection facilitated by Construsfera does not itself create a contract for the underlying construction, engineering, supply, employment, rental or professional service.

The relevant parties may enter into a separate contract governing:

• scope;

• price;

• payment;

• schedule;

• warranties;

• liability;

• insurance;

• intellectual property;

• confidentiality;

• health and safety;

• compliance; and

• other project-specific obligations.

Where Construsfera is itself a contractual party, its rights and obligations will be defined by the relevant agreement.

14. FEES AND COMMERCIAL MODELS

Depending on the service, Construsfera may operate under different commercial models, including:

• subscriptions;

• platform fees;

• project fees;

• coordination fees;

• capacity-mapping fees;

• qualification or screening fees;

• lead-generation fees;

• transaction fees;

• commissions;

• technology fees;

• consulting or advisory fees;

• management fees; or

• other agreed commercial arrangements.

The applicable fees will be disclosed or agreed before the relevant paid service is provided.

Different countries, projects, clients and partners may be subject to different commercial arrangements.

15. INTRODUCTIONS AND NON-CIRCUMVENTION

Where Construsfera introduces, identifies, qualifies, organises or develops a relationship between a client and a professional, company, supplier, equipment owner, contractor or other capability provider, the commercial treatment of that introduction may be governed by a separate agreement.

Where such an agreement contains a non-circumvention or introduction-protection provision, the relevant parties agree to respect the applicable period, scope and commercial consequences established therein.

Unless otherwise agreed in writing, these Terms alone do not create a general commission or exclusivity obligation.

16. CONFIDENTIAL AND PROJECT INFORMATION

Projects may involve confidential commercial, technical or operational information.

Users must not disclose or misuse confidential information received through Construsfera where they are subject to a confidentiality obligation.

Where a project requires a higher level of protection, Construsfera or the relevant parties may enter into:

• confidentiality agreements;

• non-disclosure agreements;

• data-sharing agreements;

• information-security agreements; or

• project-specific confidentiality provisions.

Those agreements will prevail over these Terms to the extent of any conflict concerning confidential information.

17. USER CONTENT AND DATA

Users may submit:

• descriptions;

• photographs;

• technical information;

• plans;

• documents;

• company information;

• professional information;

• project information;

• equipment information; and

• other content.

Users retain ownership of their content unless otherwise agreed.

By submitting content, users grant Construsfera the rights reasonably necessary to store, process, reproduce, organise, analyse and display that content for the purpose of providing and improving the relevant services.

Users warrant that they have the necessary rights to submit such content.

Personal data is processed in accordance with the Privacy Policy.

18. PLATFORM INTELLECTUAL PROPERTY

All rights relating to the Construsfera platform and its proprietary infrastructure remain with Construsfera or its licensors, including, where applicable:

• software;

• source code;

• databases;

• platform architecture;

• algorithms;

• AI systems;

• interfaces;

• workflows;

• methodologies;

• trademarks;

• logos;

• designs;

• documentation; and

• proprietary data structures.

No transfer of ownership is created by a user's access to the platform.

19. NETWORK DATA AND AGGREGATED INFORMATION

Construsfera may create structured and aggregated information from the operation of its platform, subject to applicable data protection and confidentiality requirements.

Such information may include aggregated or anonymised information concerning:

• market capacity;

• geographic distribution;

• categories of services;

• equipment availability;

• project categories;

• construction activity;

• supplier networks; and

• other ecosystem-level information.

Construsfera may use such information to improve its services, develop products, analyse markets and support project planning, provided that applicable privacy, confidentiality and contractual obligations are respected.

20. COMPLIANCE

Users and partners must comply with all laws and regulations applicable to their activities.

Depending on the project and jurisdiction, this may include requirements concerning:

• anti-bribery and anti-corruption;

• sanctions and export controls;

• procurement;

• competition;

• labour;

• immigration;

• taxation;

• health and safety;

• environmental protection;

• data protection;

• money laundering;

• international trade; and

• public contracting.

Construsfera may suspend or terminate relationships where it reasonably believes that continued participation could create material legal, regulatory, compliance or reputational risk.

21. PUBLIC-SECTOR AND INFRASTRUCTURE PROJECTS

Where Construsfera participates in projects involving governments, public entities or strategic infrastructure, additional legal, procurement, security and compliance requirements may apply.

Participation in a Construsfera network does not imply:

• government endorsement;

• public-sector approval;

• project award;

• procurement preference;

• contract award; or

• entitlement to public funding.

All public-sector opportunities remain subject to the applicable procurement and contracting procedures.

22. COUNTRY-SPECIFIC REQUIREMENTS

Construsfera may operate in multiple countries.

The availability and structure of services may vary according to:

• local law;

• regulatory requirements;

• market conditions;

• project requirements;

• local partners;

• licensing;

• tax requirements;

• data-protection requirements; and

• other country-specific considerations.

Country-specific terms or agreements may supplement these Terms where necessary.

In the event of a conflict between these general Terms and mandatory local law, the mandatory local law shall prevail.

23. INTERNATIONAL PROJECTS

A project may involve parties located in different countries.

Users acknowledge that international projects may involve additional requirements concerning:

• customs;

• import and export;

• currency;

• taxation;

• sanctions;

• licensing;

• employment;

• immigration;

• logistics;

• insurance;

• technical standards;

• dispute resolution; and

• applicable law.

The parties involved in an international project are responsible for determining and complying with the requirements applicable to their activities.

24. USER RESPONSIBILITY

Users are responsible for:

• information they provide;

• decisions they make based on platform information;

• contracts they enter into;

• services they purchase or provide;

• compliance with applicable laws; and

• interactions with other users.

Construsfera does not guarantee the commercial or technical success of a project merely because a connection, recommendation or capability has been facilitated through the platform.

25. RATINGS, REVIEWS AND REFERENCES

Where the platform allows ratings, reviews or references, users must provide information honestly and in good faith.

Users must not:

• submit fraudulent reviews;

• manipulate ratings;

• impersonate another user;

• offer incentives for misleading reviews; or

• use reviews to threaten or improperly influence another participant.

Construsfera may moderate, remove or restrict content that violates these Terms or applicable law.

26. PROHIBITED USE

Users must not use Construsfera to:

• commit or facilitate unlawful activities;

• provide fraudulent information;

• impersonate another person or organisation;

• circumvent security controls;

• introduce malicious code;

• interfere with platform operations;

• unlawfully scrape or extract platform data;

• misuse confidential information;

• manipulate platform rankings or reviews;

• circumvent agreed commercial protections;

• infringe intellectual property rights;

• violate privacy rights;

• facilitate bribery or corruption; or

• engage in activities that create material legal, security or reputational risk.

27. SUSPENSION AND TERMINATION

Construsfera may suspend, restrict or terminate access to the platform where reasonably necessary to:

• protect users;

• protect the platform;

• investigate fraud or abuse;

• address security concerns;

• enforce these Terms;

• comply with applicable law; or

• protect legitimate commercial interests.

Termination of platform access does not automatically terminate separate contracts or project agreements unless those agreements provide otherwise.

28. AVAILABILITY OF THE PLATFORM

Construsfera will use reasonable efforts to maintain the availability and security of the platform.

However, no online service can guarantee uninterrupted availability.

The platform may occasionally be unavailable due to:

• maintenance;

• upgrades;

• technical failures;

• cyber incidents;

• telecommunications failures;

• third-party service interruptions;

• force majeure; or

• other circumstances outside Construsfera's reasonable control.

29. THIRD-PARTY SERVICES

Construsfera may integrate third-party technologies and services.

These may include:

• hosting;

• cloud services;

• payment services;

• communications;

• analytics;

• mapping;

• AI services;

• authentication;

• document storage; and

• other technology services.

Third-party services may be governed by their own terms and privacy policies.

Construsfera is not responsible for third-party services to the extent that their operation is outside Construsfera's reasonable control.

30. DISCLAIMER

To the maximum extent permitted by applicable law, Construsfera does not guarantee that:

• all platform information is complete;

• all third-party information is current;

• a particular capability will be available;

• a particular project will receive a suitable proposal;

• a recommended party will perform successfully;

• a project will be awarded;

• a project will be completed;

• a particular commercial result will be achieved; or

• the platform will always operate without interruption or error.

Information and recommendations provided by Construsfera should be evaluated in light of the specific circumstances of each project.

31. LIABILITY

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Subject to mandatory applicable law, Construsfera shall not be liable for indirect, incidental, special or consequential losses arising from:

• independent third-party services;

• contracts between users;

• project delays caused by third parties;

• third-party equipment;

• supplier performance;

• professional errors committed by independent providers;

• inaccurate information supplied by third parties; or

• events outside Construsfera's reasonable control.

Where Construsfera is itself a party to a specific project or service agreement, liability shall be governed by that agreement.

32. FORCE MAJEURE

Construsfera shall not be responsible for delays or failures caused by circumstances beyond its reasonable control, including, where applicable:

• natural disasters;

• war;

• civil unrest;

• governmental actions;

• sanctions;

• epidemics or pandemics;

• strikes;

• infrastructure failures;

• telecommunications failures;

• cyberattacks;

• power failures;

• supply-chain disruptions; or

• other events of force majeure recognised by applicable law.

33. CONSUMER PROTECTION

Where a user qualifies as a consumer under applicable law, mandatory consumer protection rights shall apply.

Nothing in these Terms is intended to waive or restrict rights that cannot legally be waived.

34. PRIVACY

Personal data is processed in accordance with the Construsfera Privacy Policy.

Users should review that policy before submitting personal information through the platform.

35. COOKIES

Cookies and similar technologies are governed by the Construsfera Cookie Policy.

Where required by applicable law, users may manage their cookie preferences through the available cookie-management mechanism.

36. CHANGES TO THESE TERMS

The latest version will be published on the website with its corresponding effective date.

Where changes materially affect an existing contractual relationship and applicable law requires notification or consent, Construsfera will provide the required notice or obtain the required consent.

37. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful or unenforceable, the remaining provisions shall remain in effect to the extent permitted by law.

The invalid provision shall be interpreted or replaced, where possible, in a manner that most closely reflects its original purpose.

38. NO WAIVER

Failure by Construsfera to enforce a provision of these Terms does not constitute a waiver of its right to enforce that provision later.

39. ASSIGNMENT

Users may not assign or transfer their rights or obligations under these Terms where such transfer is prohibited by applicable law or without the required consent.

Construsfera may assign or transfer its rights and obligations in connection with a corporate restructuring, merger, acquisition, sale of assets or transfer of the relevant business, subject to applicable law.

40. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by the laws applicable to the Construsfera entity providing the relevant service, subject to mandatory provisions of applicable local law.

For consumer users, mandatory consumer-protection rules concerning applicable law and jurisdiction shall remain unaffected.

Specific commercial, project, consortium, joint venture or service agreements may establish their own governing law, jurisdiction and dispute-resolution mechanisms.

41. LANGUAGE

The English version of these Terms is intended to provide a common international framework.

Where Construsfera provides services in a country where a local-language version is legally required, the applicable local version may supplement or replace these Terms for the relevant service.

In the event of a conflict, the legally applicable version shall prevail to the extent required by law.
